Terms and Conditions

These Standard Terms and Conditions govern all sales of products sold by Eteros. By placing an order, accepting a quotation, or accepting delivery of any product from Eteros, the Buyer agrees to be bound by these Terms and Conditions. These Terms and Conditions shall prevail over any conflicting or additional terms in any Buyer purchase order, acknowledgment, or other document, which are expressly rejected and shall have no effect.

INTENDED USE/COMPLIANCE

Eteros equipment (including all Mobius-branded products) is designed and intended solely for the processing of legal plant matter, including but not limited to cannabis, hemp, herbs, hops, and flowers, by duly licensed and qualified operators in jurisdictions where such activities are fully permitted under all applicable federal, state, provincial, local, and international laws and regulations.

Eteros does not promote, condone, or authorize any illegal or unlicensed use of its equipment. By placing an order or accepting delivery of any Eteros product, the Buyer represents, warrants, and covenants to Eteros that:

• Buyer is fully licensed and authorized under all applicable laws to purchase, possess, and use the equipment in its jurisdiction;
• Buyer will use the equipment only in strict compliance with all applicable laws and regulations; and
• Buyer will not use or permit the use of the equipment in any manner that is prohibited or unlawful.

Eteros and its affiliates shall not be held liable for any damages, fines, penalties, legal consequences, or other losses arising from the misuse, unlawful use, or non-compliant operation of its equipment. The Buyer assumes full and sole responsibility for compliance with all applicable laws and for any consequences resulting from any prohibited or unlawful use. The Buyer shall indemnify, defend, and hold harmless Eteros and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to the Buyer’s breach of any representation, warranty, or covenant in these Terms, or the Buyer’s misuse, unlawful use, or non-compliant operation of the equipment.

LIMITATION OF LIABILITY

In no event shall Eteros or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages (including without limitation loss of profits, business interruption, or loss of goodwill) arising out of or related to the purchase, use, or operation of Eteros equipment, even if advised of the possibility of such damages. Eteros’s total aggregate liability arising out of or related to the purchase, use, or operation of Eteros equipment, whether in contract, tort, or otherwise, shall not exceed the purchase price actually paid by the Buyer for the specific equipment giving rise to the claim. Nothing in this section shall limit the Buyer’s indemnification obligations under these Terms.

PAYMENT POLICIES

Payment in full is required before delivery on orders including serialized items, or on items with a unit value of $4,000 USD or greater. Net 30 terms are extended on parts orders with a unit price of less than $4,000 USD, following an approved credit check. Eteros Technologies reserves the right to withdraw credit terms extended to customers with a history of delayed payments. To apply for a credit account, please contact ar@eteros.com.

A non-refundable deposit of 20% is required to secure a spot in our production schedule for items with a lead time. In the event of cancellation by the Buyer, the deposit shall be retained by Eteros as liquidated damages.

All orders over $6,000 USD that are paid by credit card are subject to a 3% processing fee. Interest charges of 2% per month (or the maximum rate permitted by applicable law, whichever is less) will be applied on overdue accounts.

SHIPMENT POLICIES

Shipping charges will be incurred on all orders containing serialized items (including machines) and on all parts orders with a gross subtotal under $3,500 USD. Free shipping is available only on parts orders with a gross subtotal of $3,500 USD or more that ship to a single location within the 48 contiguous United States or Canada. Orders outside of the 48 contiguous United States and Canada (including Alaska and Hawaii) require custom shipping quotes. Title and risk of loss for all products shall pass to Buyer upon delivery of the products to the carrier at Eteros’s shipping point; provided,

however, that Eteros retains a purchase money security interest in all products until payment in full has been received, and Buyer agrees to execute any documents reasonably requested by Eteros to perfect such interest.

TERMS & CONDITIONS OF SALE

All quoted prices are exclusive of applicable taxes, duties, and fees, all of which shall be the sole responsibility of the Buyer. Quotes are valid for 10 days from date on quote. Any quoted lead times are based on current inventory status and/or material availability. Note that lead times may shift between issuance of a quote and receipt of a deposit. Eteros reserves the right to adjust lead times as orders near completion.

Storage fees will be charged on orders ready to ship if receipt of payment is delayed by 14 days from invoice date. Storage fees are charged at 5% of the order total per month. If payment is not received within 60 days of the invoice date, Eteros reserves the right to cancel the order, resell the equipment, and retain any deposits previously paid as liquidated damages.

WARRANTY & RETURNS POLICIES

All orders are governed by our standard 1 year or 1000 hours warranty (whichever occurs first), the full terms of which are available FULL TERMS OF WARRANTY and incorporated herein by reference. EXCEPT AS EXPRESSLY SET FORTH IN ETEROS’S STANDARD WARRANTY, ETEROS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Refunds are eligible on unused parts that are returned within 30 days from the Buyer’s receipt of the product, with prior written approval from Eteros. Items are subject to a 20% restocking fee. All serialized equipment and electronic components are excluded from return eligibility and are non-refundable. Items must be returned in the original packaging and shipping costs are non-refundable. Return shipping and insurance costs are the responsibility of the Buyer.

UNILATERAL PRICING POLICY

The Unilateral Pricing Policy (UPP) sets a Minimum Retail Price (MRP) for all Eteros products. This policy is designed to maintain price integrity throughout the Eteros dealer network, enabling retailers to remain profitable in this highly competitive environment. Eteros independently chooses to conduct business only with dealers who advertise and sell all products at, or above, the MRP.

Eteros will periodically supply and update the Minimum Retail Price on products covered by this policy to coincide with official price changes, sales, or product introductions. Eteros’s decision to supply products to any dealer will take into account whether that dealer advertises, promotes, or sells products at or above the MRP. This UPP applies to all Eteros products, whether purchased directly from Eteros or any other source. While every retailer can independently set their resale pricing, Eteros will independently choose to conduct business only with retail partners whose pricing is consistent with the UPP.

GOVERNING LAWS

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict of laws principles. Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state and federal courts located in Las Vegas, Nevada. The Buyer irrevocably consents to the personal jurisdiction of such courts and waives any objection to venue therein, including on the grounds of forum non conveniens.
